Original job description
Legal Associate / Operations
Arkfield Capital | Toronto, ON
About the Role
Arkfield Capital is seeking a junior lawyer or recent law graduate to join our team in a combined legal and operations role. Working directly with in-house counsel, you will support the M&A, financing and investment activity carried out across Arkfield’s platform, from entity formation and investor subscriptions through to financings, acquisitions and distributions, while liaising with external counsel, partners and internal teams on transactions. Alongside that legal work, you will support the day-to-day operations of the business, taking on operational, administrative and business projects across the platform as they arise.
The successful candidate will start immediately. Reporting to in-house counsel, you will take ownership of corporate governance and transaction support for a portfolio of limited partnerships and corporations, act as a resource to the broader business on operational matters, and you will quickly be exposed to the full range of legal work and business/operations work that a growing real estate investment and development business generates: corporate and securities, commercial real estate, financing, leasing, construction and employment matters.
This is a start-up environment. The legal function is small, the business moves quickly, and you will wear multiple hats. This is not a purely legal position: a meaningful part of your time will be spent on the operational and business side of the company, and the right candidate will see that as a feature of the role rather than a distraction from it. The work is challenging and the learning curve is steep, but the trade-off is responsibility and exposure that would take years to reach in a traditional firm setting. It is suited to someone who is organized, detail-oriented, intellectually curious and comfortable taking initiative without a lot of hand-holding. You’ll work alongside an experienced team in a collaborative, non-hierarchical culture that values communication, structure and professionalism as we grow the platform.
What You’ll Do
- Drafting and reviewing legal documents supporting investor subscriptions, loan and financing arrangements, purchase and sale agreements, limited partnership agreements and the formation, reorganization and dissolution of entities
- Coordinating and documenting transactions and investments, including flows of funds (loans, capital contributions, returns of capital and distributions) and the resolutions and closing documents that authorize them
- Supporting securities and regulatory compliance, including exempt market filings, know-your-client processes and reporting obligations
- Preparing board and investor materials, including agendas, resolutions, performance summaries and supporting documents, and attending meetings as required
- Maintaining corporate records, including minute books, registers, organizational charts and corporate filings across Arkfield’s entities
- Preparing, submitting and tracking real estate and corporate registrations and searches through Teraview and other land registry and government systems
- Conducting legal research and preparing memoranda on corporate, securities, real estate, construction, tenancy and employment questions as they arise in the business
- Liaising with external legal counsel, lenders, investors and other stakeholders, and managing the flow of information and deliverables on transactions
- Collaborating regularly with internal teams across finance, development, asset management and investor relations on matters related to investments, transactions and the general operation of the business
- Supporting the operations of the business, including process improvement, document and information management, vendor, insurance and service-provider coordination, and other operational projects as assigned
- Assisting senior leadership with business initiatives, including investor relations and reporting, the preparation of materials for partners and lenders, and the implementation of new systems and procedures
What We’re Looking For
- A law degree (JD or LLB, or equivalent) from a recognized law school; recent graduates, articling candidates, NCA candidates and lawyers with up to three years of experience are all encouraged to apply
- Interest in, and ideally some exposure to, corporate, securities, real estate or finance law through coursework, summer or articling positions, clinics or prior employment
- Highly detail-oriented
- A genuine interest in the business and operational side of a real estate platform, and a willingness to take on work outside the strict legal function
- Strong drafting skills and the ability to review documents critically and precisely
- Experience with corporate records, minute books and filings, or with Teraview and land registration processes, is an asset but not required
- Excellent written and verbal communication skills, with sound judgment and professionalism
- A strong sense of urgency and the ability to prioritize competing deadlines
- A proactive self-starter who takes initiative, anticipates needs and works independently while collaborating effectively across departments
- Comfort with ambiguity, a practical and commercial mindset, and the ability to adapt quickly to shifting priorities and tight turnaround times in a fast-paced, entrepreneurial environment
What You’ll Gain
- Breadth of experience across corporate, securities, real estate, financing and governance work that is rarely available to a junior lawyer in a single role
- Experience on both the legal and the operational side of a growing business, and a first-hand understanding of how the two fit together
- Direct, daily mentorship from in-house counsel and exposure to senior leadership and decision-making across the business
- Meaningful, hands-on ownership of transaction execution and corporate governance from day one
- Insight into how a fast-growing real estate investment platform structures, finances and governs its projects and corporate entities
- A front-row view of how legal and operational work translate into business outcomes in a vertically integrated development company
