Our client is a Montreal-based boutique law firm recognized for its expertise in business law, transactional matters, and tax. The firm advises private and public companies, investment funds, investors, and entrepreneurs on sophisticated Canadian and cross-border transactions.

THE ROLE

We are seeking a Transactional Tax Associate with 3 to 5 years of experience to join a dynamic and growing tax practice.

The successful candidate will work on sophisticated transactional tax matters and advise clients on mergers and acquisitions, corporate reorganizations, and strategic tax planning.

The role will involve:

Advising private and public clients on mergers and acquisitions;
Structuring Canadian and cross-border transactions from a tax perspective;
Conducting tax due diligence;
Assisting with tax modelling and transaction analysis;
Advising on corporate reorganizations and tax-efficient structures;
Working closely with the firm's corporate and M&A teams on sophisticated transactions;

QUALIFICATIONS

Member in good standing of the Quebec Bar;
3 to 5 years of relevant tax law experience;
Master's in Taxation or completion of the In-Depth Tax Course;

Excellent drafting, problem-solving, and communication skills;

LE RÔLE

Nous sommes à la recherche d'un(e) avocat(e) fiscaliste cumulant 3 à 5 années d'expérience afin de se joindre à une équipe spécialisée en fiscalité transactionnelle.

La personne recherchée participera à des mandats sophistiqués touchant les fusions et acquisitions, la structuration fiscale ainsi que les réorganisations d'entreprises, en collaboration avec une clientèle privée et publique.

Le poste permettra notamment de :

Conseiller des clients privés et publics dans le cadre de transactions de fusion et acquisition (M&A);
Participer à la structuration fiscale de transactions canadiennes et transfrontalières;
Réaliser des vérifications diligentes fiscales;
Participer à la modélisation et à l'analyse des incidences fiscales des transactions;
Conseiller les clients relativement aux réorganisations corporatives et aux stratégies d'optimisation fiscale;
Collaborer étroitement avec les équipes transactionnelles sur des dossiers complexes;
Participer à des mandats liés à la rémunération des dirigeants et à d'autres enjeux fiscaux stratégiques.

PROFIL RECHERCHÉ

Membre du Barreau du Québec;
3 à 5 ans d'expérience pertinente en fiscalité;
Maîtrise en fiscalité;
Expérience en fiscalité transactionnelle, en M&A ou en réorganisations corporatives;
Excellente capacité d'analyse et aisance avec les chiffres;
Solides aptitudes en rédaction et en résolution de problèmes complexes;
