Role Description:
This Corporate Law Clerk position will support a growing corporate practice group handling the management of thousands of corporate entities. Day-to-day responsibilities include drafting and revising corporate documents, assisting with incorporations, reorganizations, share transactions and minute book maintenance, as well as coordinating filings and registrations with government and regulatory bodies. This is a full-time role with benefits and the potential for hybrid combination of in-office and remote work.
Qualifications:
- Excellent communication skills, with the ability to interact professionally with clients, colleagues, and external parties in writing and in person.
- Clear, accurate writing skills in drafting documents, correspondence and other client materials.
- Strong attention to detail, organizational skills, and ability to manage multiple files and deadlines in a fast-paced environment.
- Ability to work collaboratively on-site and remotely with a multidisciplinary legal team and demonstrate professionalism, discretion, confidentiality and integrity.
- Experience incorporating federal and Ontario corporations including drafting authorized capital share provisions, organizational resolutions, issuing shares and setting up and maintaining both digital and physical minute books as well as drafting and filing Articles of Amendment, dissolutions and amalgamations of Ontario and federal corporations.
- Familiarity with government filings such as annual returns, provincial Form 1 Initial Returns/Notices of Change and federal changes of information through the OBR and Corporations Canada;
- Proficient preparing annual minutes/resolutions and general corporate minute book maintenance based on financial statements and Notice to Readers, dividend, bonus resolutions and special resolutions.
- Some experience with corporate reorganizations and estate freezes including S.85, S.86 and S.51 exchanges and rollovers would be an asset.
- Proficiency with iManage, MinuteBox, MicroSoft Office, ShareFile, Closing Folders, Adobe, DocuSign would also be an asset.
- Graduate of a recognized Law Clerk program or the equivalent combination of education and experience.
