Original job description

Join CoolIT, an Ecolab Company, a global leader in Direct Liquid Cooling technology for data centers, supercomputers, and high-performance computing environments.

As a Paralegal, you will support the Associate General Counsel for the Global High-Tech and Data Center business, helping deliver practical and timely legal support in a fast-paced, global industrial technology environment. You will coordinate the administration, review, negotiation, and execution of commercial agreements while partnering with Legal, Sales, Finance, Supply Chain, Insurance, Research and Development, and other business stakeholders.

What’s in it For You

Day 1 Coverage: Employer-paid comprehensive benefits, including dental, prescription drug, vision, paramedical coverage, and a $1,000 annual Health Spending Account.
RRSP: 2% employer-sponsored contribution.
Enjoy three weeks of vacation, six flex days, and a one-week paid company-wide holiday shutdown.
$1,000 annual professional development allowance to support your ongoing learning, skill development, and career growth.
Dress for your day in a casual, professional environment.
Work in a hybrid environment - 4 days in office.
Support a rapidly evolving business serving the high-performance computing, artificial intelligence, and data center markets.
Help build practical legal processes, templates, and technology-enabled workflows that support scalable growth.
Join a collaborative environment where initiative, sound judgment, and continuous improvement are valued.

What You Will Do

Support the Associate General Counsel with commercial contracting and other legal matters for CoolIT and the Global High-Tech and Data Center business.
Review, draft, and propose edits to commercial agreements, including confidentiality, master purchase and service, supply, lease, maintenance, service-level, distribution, and letter-of-intent agreements, within established guidelines and escalation protocols.
Coordinate the contract lifecycle from intake through review, negotiation, approval, signature, filing, renewal, and reporting.
Partner with Sales, Finance, Supply Chain, Insurance, Research and Development, and other stakeholders to gather information, track open items, and move agreements forward efficiently.
Maintain contract records, trackers, templates, playbooks, and approval documentation, and prepare reports on contract status, key terms, obligations, renewals, and legal support activity.
Help design, document, and implement contract review, negotiation, and approval procedures, including standard forms, clause libraries, checklists, and self-service legal resources.
Support stakeholder training on contracting processes, contract provisions, negotiation practices, and legal policies.
Conduct legal and business research and summarize findings clearly and accurately for counsel and business stakeholders.
Coordinate with Ecolab legal specialists, internal partners, outside counsel, and external service providers on compliance, litigation, intellectual property, risk management, matter documentation, invoices, deadlines, and follow-up activities, as directed by counsel.
Assist with corporate records, due diligence, integration activities, claims, internal reviews, legal workflow improvements, and other special projects while handling confidential information with integrity, discretion, and professionalism.

Minimum Qualifications

Post-secondary diploma or degree in paralegal studies, legal studies, business administration, or a related field.
Three or more years of experience as a paralegal, contracts specialist, contract administrator, or legal professional, including meaningful exposure to commercial transactions.
Experience reviewing, drafting, or administering commercial contracts and confidentiality agreements.
Experience conducting legal research and managing documents, deadlines, and projects.
Proficiency with Microsoft Word, Excel, PowerPoint, and Outlook, with the ability to learn contract management and other legal technology platforms.

Preferred Qualifications

Recognized Paralegal Certificate.
Experience supporting an in-house legal department or a global, matrixed organization.
Experience in technology, industrial products, manufacturing, engineering, data centers, or a related business-to-business environment.
Familiarity with supply, service, distribution, maintenance, and technology-related commercial agreements.
Exposure to data usage, cybersecurity, insurance, intellectual property, or compliance matters.
Experience improving contract processes or using contract lifecycle management, automation, or AI-enabled legal tools.
Excellent written and verbal communication, proofreading, and document-drafting skills.
Strong analytical and critical-thinking skills, including the judgment to identify risks and escalate issues appropriately.
Exceptional attention to detail, organization, prioritization, and follow-through.
Ability to summarize complex information and material contract terms clearly and accurately.
Ability to work independently while collaborating effectively across functions, geographies, and organizational levels.
Proactive, service-oriented approach and the ability to respond with appropriate urgency in a fast-paced environment.
High integrity, discretion, professionalism, and respect for confidential information.

We thank every candidate in advance; however, we will contact only those selected for an interview. Please note: immigration sponsorship is not available for this role.

Successful candidates for this position will be required to undergo background checks, including criminal record checks and education verification.
