Job Description

The Intellectual Property Group is seeking a lawyer to join its technology transactions and intellectual property practice. You will work closely with the mergers and acquisitions, corporate and commercial, financing and other practice groups across the firm. More specifically:

You will draft and negotiate licence, research and development, collaboration, co-development and technology transfer agreements, as well as other technology and intellectual property agreements;
You will advise business clients on strategies to use, protect, enhance and commercialize intellectual property assets;
You will conduct intellectual property audits;
You will provide transactional support and assist with intellectual property and technology due diligence in connection with corporate and commercial transactions, financings, mergers and acquisitions;
You will act as a strategic advisor to clients and, depending on your experience, contribute to the protection and management of their intellectual property assets;
You will contribute to client development and to the profile of this strategic practice.

You hold a bachelor’s degree in civil law and are a member in good standing of the Barreau du Québec;
You have three to six years of relevant experience in technology transactions and intellectual property;
You have strong experience drafting and negotiating complex technology and intellectual property agreements;

You have excellent spoken and written French and English skills;

Le groupe de propriété intellectuelle est à la recherche d’un(e) avocat(e) pour se joindre à sa pratique de transactions technologiques et de propriété intellectuelle. Vous serez membre de l'équipe de pratique en propriété intellectuelle et collaborerez étroitement avec les équipes de fusions et acquisitions, de droit corporatif et commercial, de financement ainsi qu’avec d’autres groupes de pratique du cabinet. Plus précisément:

Vous rédigerez et négocierez des contrats de licence, de recherche et développement, de collaboration, de codéveloppement, de transfert technologique ainsi que d’autres contrats technologiques et visant la propriété intellectuelle;
Vous conseillerez une clientèle d’affaires sur les stratégies d’exploitation, de protection, de valorisation et de commercialisation d’actifs de propriété intellectuelle;
Vous réaliserez des audits en matière de propriété intellectuelle;
Vous offrirez un soutien transactionnel et participerez à des vérifications diligentes en matière de propriété intellectuelle et de technologies dans le cadre de transactions corporatives et commerciales, de financements ainsi que de fusions et acquisitions;
Vous agirez comme conseiller stratégique auprès des clients et contribuerez, selon votre expérience, à la protection et à la gestion de leurs actifs de propriété intellectuelle;

Vous êtes titulaire d’un baccalauréat en droit civil et membre en règle du Barreau du Québec;
