Original job description
ISS STOXX is seeking a temporary Proxy Research Analyst to join its Canadian Research team in Toronto for the 2027 spring proxy season. The assignment is expected to begin in February 2027 and end in early June 2027, although start and end dates may vary. The successful candidate will review public company disclosure, apply ISS policy guidelines, and conduct qualitative analysis of corporate governance matters and shareholder rights at Canadian public companies. This seasonal role offers practical experience in governance research and may provide a pathway to future full-time opportunities.
Each year, institutional investors, including mutual funds and pension funds, vote on significant governance matters at their portfolio companies. These matters include director elections, auditor ratification, executive compensation, mergers and acquisitions, and financing transactions. For more than 40 years, Institutional Shareholder Services (ISS) has provided governance research and voting solutions that help institutional investors evaluate governance risk and make informed voting decisions.
Key Responsibilities
- Analyze financial and corporate governance disclosure and prepare proxy research reports and voting recommendations for shareholder meetings of Canadian public companies in accordance with ISS policy guidelines (available at issgovernance.com/policy).
- Develop a working knowledge of corporate governance matters, with a focus on executive compensation, shareholder rights, shareholder proposals, and corporate transactions.
- Support the Research team by locating and reviewing public disclosure documents, including shareholder rights plans, advance notice policies, and equity compensation plans; and maintaining analyst workflow tracking sheets.
- Track voting results for high-profile meetings and issues to support timely client updates.
- Support the draft report review process, as needed.
- Research issue-specific background information relating to shareholder proposals and other governance matters.
- Monitor regulatory websites, news coverage, company developments, and industry sources for updates on high-profile meetings, companies, and governance issues.
Qualifications
- Strong analytical skills and an interest in corporate governance, corporate transactions, and capital markets.
- Excellent written and verbal communication skills, with the ability to present complex information clearly and concisely.
- Previous experience in compensation consulting, securities law, governance research, accounting, finance, or a related field is an asset.
- Strong technology skills and the ability to learn and work effectively with research, data, and workflow tools.
- Client-focused, reliable, detail-oriented, and able to produce high-quality work under tight deadlines.
- Bachelor's degree or higher in business, finance, accounting, law, governance, or a related discipline, or an equivalent combination of education and relevant experience.
Additional Information
- Work Schedule: This role is fully onsite with five days in-office each week.
- Peak Season: During peak season (late March to mid-May), overtime may be requested, which can include evenings or weekends.
- Payroll and Benefits: The payroll provider for this position is through a third party, so ISS STOXX benefits are not applicable. Benefits may be available through the third-party provider after an eligibility period; please inquire for more details.
Compensation: The hourly expected compensation range for this role based in Toronto, ON is $26.00 - $27.00 CAD per hour. The role is not bonus eligible.
Exact compensation may vary based on skills, experience, and level of education.
Vacancy Status: This posting is for a current, open position within ISS STOXX.
