Duties & Responsibilities:
- Conduct corporate due diligence reviews in connection with transactions, identify deficiencies, and prepare rectification documentation.
- Prepare and file corporate documents relating to incorporations, amendments, amalgamations, continuances, dissolutions, reorganizations, and other corporate transactions.
- Assist with mergers, acquisitions, financings, asset purchases, and other transactional matters, including preparation of closing documentation and execution packages.
- Maintain corporate records, minute books, registers, corporate structure charts, and entity databases for Canadian, U.S., and offshore entities.
- Prepare routine corporate governance documentation, including annual resolutions, director and officer changes, dividends, share issuances, and related filings.
- Manage corporate compliance matters, including annual returns, business name registrations, regulatory filings, and maintenance of compliance calendars and deadlines.
- Conduct corporate searches, coordinate filings with regulatory authorities, and liaise with lawyers, registered agents, local counsel, and external service providers.
- Contribute to the development of precedents, templates, and internal processes while proactively identifying issues and recommending solutions.
- Support litigation, enforcement, and document production matters, including file management, legal holds, and coordination with external counsel when required.
- Handle KYC, AML, onboarding, and other regulatory documentation requirements.
Qualifications
- Completion of law clerk program recognized by the Institute of Law Clerks of Ontario;
- 3+ years of experience as a Law Clerk in a corporate/commercial law firm;
- Experience supporting cross-border matters and working with U.S. and offshore counsel is an asset;
- Combined corporate and litigation experience, is an asset;
- In depth knowledge and understanding of the corporate statutes, legal procedures, and protocols;
- Proficiency with Microsoft Office (Word, Outlook, Excel) and PowerPoint, Adobe Acrobat, and DocuSign;
- Excellent communication skills; both written and verbal, interpersonal and time management skills;
- Demonstrated ability to handle confidential and market-sensitive information with absolute discretion, and to comply with confidentiality, personal-trading, and information-barrier policies;
