Corporate Secretary
Location: Toronto, Ontario
Our Client
Our client is a leading Canadian organization with a sophisticated corporate governance function and a strong institutional presence. The organization is seeking an experienced Corporate Secretary to support its Board of Trustees and senior leadership team.
Responsibilities
- Support the company’s corporate governance and secretariat functions
- Coordinate quarterly Board and committee meetings, including agendas, materials, minutes, and related documentation
- Prepare, maintain, and organize corporate records and governance documentation
- Liaise directly with Board members, senior executives, and internal stakeholders on governance matters
- Support compliance with applicable corporate governance requirements and internal policies
- Manage Board-related projects and governance initiatives independently
- Attend Board and committee meetings and provide hands-on support before, during, and after meetings
- Maintain governance documentation and materials for a publicly traded company
- Travel within Canada as required
Qualifications
- Significant experience in corporate secretariat, corporate governance, or related clerking functions
- Experience supporting Boards of Directors or Boards of Trustees, ideally within a publicly traded company
- Legal background, including experience as a senior corporate law clerk, is an asset but not required
- Strong understanding of corporate governance practices and public-company requirements
- Experience preparing Board and committee materials, coordinating meetings, and maintaining corporate records
- Excellent organizational and time-management skills with strong attention to detail
- Excellent written and verbal communication skills
- Comfortable interacting directly with senior executives and Board members
- Ability to work independently and manage multiple priorities with minimal supervision
The Ideal Candidate
- Prior experience in corporate secretariat, corporate governance, or a senior corporate law clerk role
- Strong professional judgment and ability to manage sensitive and confidential matters independently
- Polished and professional, with credibility when interacting with senior executives and Board members
- Highly organized, detail-oriented, and comfortable managing multiple priorities
- Practical and hands-on approach to corporate governance and secretariat responsibilities
- Collaborative and comfortable working across legal, executive, and corporate functions
- Interested in building a long-term career in a sophisticated corporate governance environment
- Real estate industry experience is not required
