Role Overview
The Reorganization Corporate Actions Specialist supports the processing, tracking, and communication of corporate action events that involve changes to securities, ownership structures, positions, or entitlement details. These events may include mergers, acquisitions, tenders, exchanges, conversions, rights offerings, bankruptcies, spin-offs, reorganizations, redemptions, liquidations, and other mandatory or voluntary market events.
Purpose of the Role
The role helps ensure reorganization events are reviewed accurately, instructions are captured correctly, deadlines are managed, and resulting account updates are completed with appropriate controls. This work is important because reorganization events are often time-sensitive, complex, and may affect client holdings, elections, cash payments, tax reporting, settlement activity, and downstream operational processes.
Key Responsibilities
- Review corporate action event details from internal systems, custodians, depositories, vendors, or other approved sources.
- Interpret event terms, options, deadlines, eligibility, and required actions for mandatory and voluntary reorganization events.
- Support the collection, validation, and routing of client or advisor instructions for election-based events.
- Track key dates including record dates, ex-dates, response deadlines, expiration dates, payable dates, and settlement dates.
- Coordinate with operations, settlements, trading, client service, tax, compliance, reconciliation, and technology teams as needed.
- Maintain accurate event records, instruction details, status updates, documentation, and audit trails.
- Identify discrepancies between event sources, account holdings, entitlement calculations, system records, or election details.
- Escalate unclear, high-risk, or time-sensitive issues to managers, senior team members, or relevant business partners.
- Support post-event validation, including cash or security postings, position updates, entitlement review, and exception resolution.
Tasks That You May Be Doing in This Role
- Monitoring incoming reorganization event notifications and determining which items require review, action, or communication.
- Checking event terms such as option details, consideration, proration, withdrawal rights, deadlines, and required documentation.
- Entering event data, elections, instructions, notes, and status updates into internal workflow or processing tools.
- Following up with advisors, internal partners, or operations teams when instructions are missing, incomplete, or approaching deadline.
- Reviewing account eligibility, positions, restrictions, and election requirements before routing instructions for processing.
- Helping investigate questions related to event outcomes, payment timing, account updates, or unresolved exceptions.
- Supporting daily work queues, deadline reports, exception logs, and aging item reviews.
- Learning the end-to-end corporate actions process, including how notices, elections, entitlements, settlements, reconciliations, and account postings connect.
Skills and Attributes Needed
- Strong attention to detail and accuracy.
- Ability to manage time-sensitive deadlines and multiple event types at once.
- Clear written and verbal communication skills.
- Comfort reviewing financial information, security details, event terms, and operational instructions.
- Good organizational skills and discipline in tracking open items through completion.
- Ability to identify risk, ask questions, and escalate when information is unclear or inconsistent.
- Basic understanding of securities, investment accounts, corporate actions, settlements, and market events is helpful.
- Proficiency with Microsoft Excel, Word, Outlook, and internal workflow or processing systems.
