Original job description

Overview and Purpose

To coordinate the activities of the Board of Directors, by ensuring that the highest level of administrative services and support are provided.

To coordinate Board of Directors and Committees (Governance Committee and Audit and Risk Management Committee) calendar of meetings, agendas and supporting material and handle the logistics for all meetings, including the Annual Meeting of the Members.

Key Responsibilities

Prepares agendas and ensures appropriate dissemination of material for Board of Directors and Committees meetings
Responsible for taking minutes during Board and Committee meetings and disseminating as appropriate
Provides administrative support to the Chair and Directors, demonstrating sound judgement and thorough understanding of Board policies and procedures as well as corporate by-laws
Coordinates the logistics of Board events including Board meetings, Annual Meeting of the Members, Board of Directors election, new Board Member orientation, Strategic Planning session, special events, etc.
Work closely with members of the management team to keep them informed of upcoming commitments and responsibilities relative to the Board of Directors
Tracks and assists Directors with expense submissions in accordance with policy
Serves as a resource and information source regarding policies, procedures and operations of the Board of Directors;
Coordinates the activities of the Governance Committee and Audit and Risk Management Committee
Coordinates the activities of the CMRAO Advisory Council

Education, Skills, and Experience

Completion of a University Degree in a related field from an accredited educational institution. Proven equivalent and recent related education, training and experience may be considered
A minimum of 6 years of experience in a high-level administrative support position; minimum of 3 years’ experience working with a Board of Directors and/or board appointed committees
Knowledge of governance structures and procedures
Exceptional verbal and written communication skills with excellent interpersonal skills
Ability to handle matters of a sensitive and confidential nature with proven problem-solving skills
Self-starter, solutions oriented and able to plan, organize and prioritize work while handling multiple tasks and interruptions
Ability to work collaboratively within a team and independently with minimal supervision
Ability to work well with a diverse group of stakeholders

Work mode: Permanent Full-time. Hybrid (minimum of two days per week on-site is expected)
