The Opportunity
Our client is a major Canadian commercial real estate owner with a portfolio spanning office, retail, residential, industrial and mixed-use properties across the country.
They are hiring an Corporate Paralegal to sit inside the in-house Legal department in downtown Toronto. This is a hybrid role: combining corporate paralegal and board/executive support.
The role is the point of contact between executive leadership and the Board. You will draft, decide, escalate when it matters, and improve the governance practices.
What You'll Do
Board and Committee Administration
- Serve as the primary liaison between executive leadership and Board members.
- Organize all Board and Committee meetings end to end, including scheduling, travel, agendas and materials distribution through Diligent Boards.
- Attend Board meetings, support logistics and take live minutes.
- Draft resolutions, and maintain the meeting minutes database.
- Maintain corporate minute books, entity records, director and officer registers and governance documentation across jurisdictions.
- Manage minute books in MinuteBox, working alongside external counsel and corporate services providers.
Transactions, Contract Review and Legal Support
- Lead the facilitation process for new entity creation, including shareholder approvals, coordinating external counsel, reviewing documents and executing approving resolutions.
- Manage internal and external KYC lifecycles, working with Investments, Tax, Finance and Legal to resolve queries and red flags.
- Support multi-jurisdictional acquisitions and dispositions by coordinating data rooms, fulfilling due diligence requests and managing document execution.
- Develop and maintain standard transaction templates, and review NDAs and standard vendor agreements.
- Streamline the above using AI tooling where it makes sense.
Experience
- 7 to 10 years of progressive corporate paralegal and board governance experience, gained in-house at a corporation or in a law firm.
- Post-secondary education in business, legal or finance, plus paralegal certification. LSO P1 licensing or a law clerk background is required.
- Hands-on drafting and review of corporate and commercial agreements.
- Prior experience in an Assistant Secretary capacity is an asset.
- GPC or ICSA credentials are an asset.
- French language skills are an asset.
Real estate experience is ideal but not mandatory. Private company experience is preferred over public company, given the nature and scope of the mandate.
Work Arrangement
This is a hybrid position based in downtown Toronto, with 4 days per week in office and 1 day remote. Fully remote candidates are not a fit for this role.
