About Glooscap First Nation
Glooscap First Nation (GFN) is a Miʼkmaq community located in the Annapolis Valley of Nova Scotia, with its land base at Hantsport. The Nation is governed by an elected Chief and Council, who serve as the ultimate Shareholders of Glooscap Ventures and as the oversight authority for all economic development activities carried out on behalf of the community.
Glooscap First Nation established its Financial Administration Law to ensure that the Nation’s financial resources are managed with rigour, transparency, and accountability. The Finance, Audit and Risk Committee was created under that Law to provide independent oversight directly to the Chief and Council, ensuring that community funds are protected and that financial governance meets the highest standards.
About Glooscap Ventures
Glooscap Ventures is the economic development corporation of Glooscap First Nation, headquartered at Glooscap First Nation in the Annapolis Valley of Nova Scotia. We have a diversified portfolio of investments across retail, real estate, seafood, entertainment, services, renewable energy, and defence, and are actively pursuing new strategic acquisitions and joint-venture opportunities.
The corporation operates independently from the Shareholder (Glooscap First Nation Chief and Council) and is committed to advancing the economic, social, and environmental well-being of the community in keeping with Miʼkmaq values, traditions, and teachings.
About the Finance, Audit & Risk Committee
The Finance, Audit and Risk (FAR) Committee is a standing committee established under the Glooscap First Nation Financial Administration Law. The FAR Committee advises both the Council of Glooscap First Nation and the Glooscap Ventures Board of Directors, reviewing and making recommendations to both bodies on all financial administration matters of the organization. Its mandate includes oversight of:
- Financial reporting processes and annual audited financial statements
- Internal controls and risk management frameworks
- Compliance with applicable laws, regulations, and the Code of Conduct
- The external audit process and auditor relationship
- Investment policy and major capital transactions
The FAR Committee meets no less than quarterly and convenes additional meetings as circumstances require. Committee members are expected to attend each meeting and to bring independent judgment to every matter before the Committee.
The Opportunity
Glooscap First Nation is seeking a new independent member of the FAR Committee to fill a seat that will become vacant with the planned retirement of a long-serving independent member. We are grateful for that member’s contribution and are working to fill the seat vacated by their retirement.
This is an excellent opportunity for an experienced finance professional to contribute to the governance of a growing Indigenous economic development corporation, advising both the Glooscap First Nation Council and the Glooscap Ventures Board of Directors. The incoming member will join a Committee that plays a central role in overseeing a multi-entity corporate structure with an active acquisition, joint venture, and investment agenda across several sectors.
Skills and Experience We Are Seeking
The FAR Committee Terms of Reference require that the majority of Committee members have financial competency, defined as the ability to read, understand, and critically analyze audited financial statements, accounting policies, and the organization’s risk environment.
For this recruitment, we are giving particular priority to candidates with transaction, valuation, and corporate or project finance experience, to complement the strong accounting and audit expertise already on the Committee. The full priority list is set out below:
Area of Expertise
What We Are Looking For
Mergers, Acquisitions & Valuation (CBV) ★ Priority
Chartered Business Valuator designation or equivalent transaction advisory, investment banking, or private equity experience. Hands-on involvement in due diligence, business valuation, deal structuring, and post-acquisition integration, with the ability to test management’s valuation assumptions, forecasts, and purchase price.
Corporate & Project Finance ★ Priority
Experience structuring and reviewing debt and equity financing, including project and infrastructure finance, partnership and joint venture structures, and lender or government co-investment programs. Familiarity with First Nations Finance Authority or Canada Infrastructure Bank financing is an asset.
Finance, Audit & Risk (CPA)
Chartered Professional Accountant designation with experience overseeing audited financial statements, internal controls, enterprise risk management, and compliance. Audit committee experience is an asset.
Financial Reporting & Oversight
Senior-level experience reviewing and challenging management’s financial reporting, including consolidations, accounting policy judgments, and management commentary.
Risk Management
Experience identifying, assessing, and overseeing financial, operational, legal, and reputational risks in a multi-entity or complex operating environment.
Indigenous Economic Development
Familiarity with First Nation governance structures, financial administration laws, and the unique operating context of Indigenous economic development corporations. This is an asset, not a requirement.
Director & Governance Education
The Institute of Corporate Directors’ ICD.D designation or equivalent formal governance education is a strong asset.
Independence Requirements
All FAR Committee members must satisfy the independence requirements set out in the FAR Committee Terms of Reference. Because the FAR Committee advises both Glooscap First Nation Council and the Glooscap Ventures Board of Directors, an individual is considered independent only if they do not have a direct or indirect financial relationship with either body that could reasonably interfere with their exercise of independent judgment.
An individual is not considered independent if they hold a role in the financial management of the First Nation or Corporation involving the planning, organizing, directing, or controlling of its financial activities, including budgeting, financial accounting, financial reporting, procurement, or utilization of funds. Shortlisted candidates will be asked to complete a written independence and conflict of interest declaration before any appointment.
Conduct and Cultural Expectations
Committee members are expected to respect the culture, traditions, and teachings of the Miʼkmaq Nation and to act accordingly in all aspects of Committee service. Members are also expected to:
- Devote themselves to their responsibilities; be prompt, prepared, and engaged.
- Maintain strict confidentiality on sensitive matters, particularly legal, personnel, and financial information.
- Exercise independent judgment and raise concerns directly and constructively within the Committee.
- Refrain from speaking on behalf of the organization unless authorized to do so.
- Comply with all applicable laws, regulations, and the Glooscap First Nation and Glooscap Ventures Code of Conduct.
Our Commitment to Diversity
The FAR Committee considers diversity in its broadest sense, including gender, age, cultural knowledge, professional background, and lived experience, when evaluating candidates. We strongly encourage applications from members of Glooscap First Nation and other Miʼkmaq communities, women, persons with disabilities, 2SLGBTQ+ individuals, and members of other under-represented groups.
How to Apply
Interested candidates are invited to submit the following materials to the Office of the CEO of Glooscap Ventures:
- A current resume or curriculum vitae.
- A cover letter (maximum two pages) describing your interest in serving on the FAR Committee and the specific expertise you would bring.
- A brief statement confirming your independence from Glooscap First Nation and Glooscap Ventures.
