About the Company
Our client, a well-established Toronto law firm with a strong reputation for providing sophisticated legal services, is seeking a Corporate Law Clerk to join their team.
Responsibilities
- Provide legal support to the Corporate Law Practice Group on a broad range of corporate commercial matters.
- Handle routine ongoing corporate work, including maintaining corporate minute books, electronic corporate records and corporate databases.
- Conduct public registry searches and corporate due diligence.
- Prepare and file corporate and extra-provincial filings and registrations.
- Prepare and manage standard corporate documents and governance materials.
- Assist with incorporations, organization of new corporations and partnerships, ownership changes and corporate group restructurings.
- Support private company M&A and financing transactions, including document preparation, organization and due diligence.
- Assist with structuring and restructuring transactions.
- Provide support on securities matters, representing approximately 10% of the role.
- Collaborate with specialized clerks in the firm's Estates and Real Estate groups, as well as clerks at affiliated firms in other Canadian jurisdictions.
- Liaise with clients, lawyers and other professionals while providing a high level of service and maintaining strict confidentiality.
- Manage multiple priorities and deadlines while ensuring accuracy and attention to detail.
Requirements
- Post-secondary education with a Law Clerk designation.
- 5+ years of corporate law experience, including general corporate maintenance, searches, registrations and filings.
- Securities experience is preferred.
- Knowledge of corporate legislation and experience preparing corporate documents in Ontario and, ideally, other Canadian jurisdictions.
- Experience with private company M&A, financing, corporate reorganizations and/or restructuring transactions is an asset.
- Strong computer skills, including Microsoft 365 (Word, Excel and Outlook), DocuSign, electronic corporate records management systems and databases, and law firm docketing and billing software.
- Excellent time management, organization and prioritization skills.
- Ability to work independently, manage competing priorities and meet tight deadlines.
- Strong interpersonal and communication skills, both written and verbal, including the ability to communicate professionally with clients.
- Exceptional attention to detail and proofreading skills.
- Ability to handle sensitive and confidential information with discretion.
- Strong team player with a commitment to providing high-quality service and work product.
Compensation
- Salary up to $100,000, commensurate with experience.
