About the Company
Our client, a well-respected Toronto law firm, is seeking a Commercial Real Estate Law Clerk to join their Real Estate and Banking team. This is an excellent opportunity for an experienced Real Estate Law Clerk who is looking to take on a role supporting sophisticated commercial real estate and bank-financing transactions.
Experience with bank-financing transactions is preferred. However, the firm is also open to experienced real estate law clerks who have worked with banks on financing matters and demonstrate strong aptitude, professionalism, and an interest in developing their banking experience.
Responsibilities
- Conduct due diligence, including ordering, reviewing, and reporting on PPSA, corporate, lien, title, and other relevant searches.
- Prepare and coordinate commercial real estate transaction documentation, including closing agendas, requisitions, closing/security documents, officer's certificates, resolutions, and other closing deliverables.
- Prepare and register PPSA registrations and discharges across relevant jurisdictions.
- Prepare and coordinate Teraview registrations and related closing documentation.
- Conduct title and off-title searches and prepare clear summaries of findings.
- Review and respond to title requisitions and assist with resolving title-related issues.
- Assist with bank-financing transactions, including the preparation and coordination of loan and security documentation.
- Maintain organized transaction records and closing books.
- Attend to commercial real estate and financing closings and ensure all closing requirements are completed accurately and on time.
- Communicate with lawyers, clients, financial institutions, opposing counsel, and other internal and external parties regarding transaction progress and closing requirements.
- Provide ongoing administrative and transactional support to the Real Estate and Banking team.
Requirements
- Post-secondary education in a Law Clerk program and/or certification through the Institute of Law Clerks of Ontario.
- 3+ years of experience as a Real Estate Law Clerk, preferably within a commercial real estate practice.
- Experience with commercial real estate transactions and familiarity with bank-financing matters.
- Strong working knowledge of Teraview and relevant real estate registration procedures.
- Experience with PPSA searches, registrations, and discharges is an asset.
- Strong attention to detail, organizational skills, and the ability to manage multiple transactions and deadlines.
- Excellent written and verbal communication skills.
- Ability to work independently while also contributing effectively as part of a team.
- Professional, proactive, and client-service oriented approach.
- Strong knowledge of Microsoft Office, including Word, Outlook, and Excel.
Compensation
- Salary up to $100,000, commensurate with experience.
- Hybrid work arrangement with 3 days in the office.
