Role: Senior Law Clerk
Location: Toronto, ON
Work Model: Hybrid – 3 days in office per week
Position Overview:
We are seeking an experienced Senior Law Clerk to join the Enterprise Board Governance team and provide legal, corporate governance, regulatory, and corporate secretarial support.
The successful candidate will work closely with legal counsel and a collaborative governance team to support Board and committee activities, regulatory compliance, corporate records, shareholder services, and other governance initiatives.
Key Responsibilities:
- Conduct legal, corporate governance, and regulatory research.
- Prepare and submit regulatory filings and required corporate disclosures.
- Support director compensation administration processes.
- Assist with shareholder services and related activities.
- Monitor and track corporate governance and compliance requirements.
- Maintain and update corporate governance records and documentation.
- Support audit inquiries and regulatory information requests.
- Assist with planning, coordinating, and executing Board and committee meetings.
- Prepare governance reports, presentations, and related reporting materials.
- Support corporate secretarial activities and governance processes.
- Contribute to process improvement and governance enhancement initiatives.
- Participate in special projects within a fast-paced corporate governance environment.
- Work under the direction of legal counsel while managing assigned governance and legal activities independently.
Must-Have Qualifications
- Approximately 5+ years of experience as a Law Clerk, Paralegal, Lawyer, or legal professional.
- Approximately 5+ years of experience working with a public company.
- Strong experience in corporate governance and corporate secretarial activities.
- Experience with regulatory filings, corporate disclosures, and compliance requirements.
- Registered Law Clerk through ILCO, OR Certified Paralegal/Lawyer through LSO.
- Strong analytical, problem-solving, and decision-making skills.
- Excellent verbal and written communication skills.
- Strong organizational skills and the ability to manage multiple priorities and deadlines.
Nice-to-Have Qualifications:
- Banking or Financial Institution experience.
- Securities law experience.
- Experience supporting public-company disclosure requirements.
- Experience with SEDI and insider reporting.
- Experience supporting proxy-related activities and other public-company filings.
