LEGAL COUNSEL – M&A
Location: Greater Toronto Area, Ontario
Contract: 6 months, with potential to become permanent
The Opportunity
A leading industrial technology and manufacturing organisation is looking for an experienced Legal Counsel to join its team on an initial 6-month contract, with the potential to transition into a permanent position.
This is a hands-on opportunity to support an active M&A transaction, working closely with senior internal stakeholders, external legal counsel and other advisors.
Key Responsibilities
- Provide legal support throughout an active M&A transaction
- Draft, review and negotiate M&A agreements and related commercial contracts
- Support legal due diligence and identify key legal and commercial risks
- Review and negotiate transaction documentation
- Work closely with senior business and finance stakeholders
- Liaise with external legal counsel and transaction advisors
- Provide practical, commercially focused legal advice throughout the transaction
- Support the business through the negotiation and execution of transaction documentation
- Assist with broader corporate and commercial legal matters where required
Experience Required
- Qualified lawyer with eligibility to practise in Ontario
- 4+ years of relevant legal experience
- Strong experience in M&A and transactional contracts
- Proven experience supporting M&A transactions and legal due diligence
- Strong contract drafting and negotiation skills
- Commercially minded, with the ability to provide practical business-focused legal advice
- Comfortable working with senior stakeholders and external advisors
- Able to work effectively in a fast-paced, transaction-focused environment
