General Counsel
About the Role
We are seeking a seasoned legal professional who thrives at the intersection of law and business strategy to join a growing organization as General Counsel. Reporting to senior executive leadership, the General Counsel will provide practical legal advice and strategic support across the organization.
This individual will oversee a broad range of legal matters, including corporate governance, commercial agreements, regulatory compliance, strategic transactions and enterprise risk management. Working closely with internal stakeholders and external counsel, the General Counsel will help the organization navigate complex legal and regulatory requirements while supporting responsible growth and evolving business priorities.
This is a hands-on leadership position suited to a commercially minded lawyer who can balance legal risk with business objectives, provide clear and actionable guidance, and take ownership of complex matters from evaluation through resolution.
Key Responsibilities
- Advise senior executive leadership and internal stakeholders on legal matters affecting the organization, providing practical, timely and business-minded counsel.
- Draft, review and negotiate a wide range of commercial contracts, including vendor, service, partnership, confidentiality and other corporate agreements.
- Oversee corporate governance matters, including board and committee support, corporate records, minute books, policies and shareholder-related matters.
- Provide legal guidance on regulatory compliance, corporate filings and other obligations applicable to the organization.
- Support strategic and commercial transactions, including acquisitions, dispositions, due diligence, corporate structuring and closing documentation.
- Advise on the legal aspects of new business initiatives, products, partnerships and organizational growth opportunities.
- Identify, evaluate and mitigate legal and regulatory risks across the business.
- Provide guidance on employment, privacy, intellectual property, licensing and general corporate matters as required.
- Monitor changes in applicable laws and regulations, assess their potential impact and advise leadership on appropriate actions.
- Manage relationships with external legal counsel, including establishing scope, monitoring costs and ensuring the timely delivery of specialized advice.
- Coordinate with external advisors on regulatory filings, corporate updates, transaction support and legal documentation.
- Oversee the preparation and submission of annual and ad hoc corporate filings in accordance with applicable requirements.
- Respond to legal and regulatory inquiries from internal stakeholders and provide support on general or ad hoc legal projects.
- Develop and improve legal processes, templates, policies and risk-management practices to support an efficient and scalable legal function.
What You Bring
- At least 10 years of relevant legal experience, ideally gained through a combination of private practice and in-house roles.
- An undergraduate degree and LL.B. or J.D., with a call to the Ontario Bar.
- Licensed and in good standing with a Canadian provincial law society.
- Experience advising senior executives and business leaders within a complex or regulated operating environment.
- Strong knowledge of corporate, commercial and regulatory law, with securities-law experience considered a significant asset.
- Working knowledge of transactional, employment, privacy and intellectual property matters.
- A commercially minded approach and the ability to translate complex legal issues into clear, practical and actionable advice.
- Demonstrated ability to independently manage complex matters and drive them through to resolution.
- Excellent drafting, negotiation, analytical and communication skills.
- Sound judgment, discretion and the ability to manage sensitive and confidential matters.
- Experience managing external legal counsel, professional-service providers and legal budgets.
- Ability to prioritize effectively and operate in a fast-moving, evolving business environment.
