We are supporting a mining company in their search for a Corporate/Commercial Paralegal to join their team in Vancouver.
About The Role:
My client is searching for a talented Paralegal to join their in-house legal team. The successful candidate will work directly with the CEO and outside counsel, draft commercial agreements, maintain investor relations and provide executive support.
A background in commercial contracts, managing redlines with multiple parties and experience in the mining industry is preferred. This is an excellent opportunity for a paralegal looking to work directly with C-Suite, have more autonomy and ownership over their work and enjoy a better work life balance.
Core Responsibilities:
- Prepare and draft commercial agreements including mineral property option and earn-in agreements, joint venture and shareholder agreements, royalties, purchase & sale agreements and NDAs.
- Run the redline process: consolidate comments from the CEO, internal and external counsel.
- You will act as the day-to-day point of contact for the organization's external legal team: tracking deliverables and deadlines, relaying instructions.
- You will own the contracts register: option payments, work and expenditure commitments, expiry dates and counterparty obligations.
- Assist with corporate recordkeeping matters including board and committee meetings.
- Proofread agreements, news releases, board materials and presentations.
- Update materials for investor meetings and roadshows, maintain investor and analyst contact database and distribution lists.
The Ideal Candidate:
- 3+ years of experience as a Corporate or Commercial Paralegal.
- Paralegal Diploma/Certificate from an accredited program.
- Must have experience drafting agreements and managing redlines with multiple parties.
- Experience tracking contractual obligations, key dates and preparing notices and summaries from executed agreements.
- Experience with mineral property option, earn-in, joint venture or royalty agreements is a plus.
- Experience with mining is a plus.
- The successful candidate will be comfortable working in a small team with shifting priorities; you must be adaptable and willing to take on executive support and investor relations tasks that fall outside a traditional paralegal role.
Office Policy:
- Flexible/hybrid in-office.
Compensation & Benefits:
- Base salary up to circa. $100,000.
