Securities Law Clerk – Corporate Governance (Contract)
Toronto, ON | Hybrid, 3 days a week downtown | 7-month full-time contract with potential to extend
Swoon is partnering with one of Canada's Big 5 banks to find a Securities Law Clerk for its Enterprise Board Governance team. This is a chance to work right next to the board of a major Canadian financial institution. You'll join a small, collaborative team that's genuinely supportive. Starting now also means you'll come in ahead of year-end disclosure and proxy season, when this work matters most.
You'll support the team's legal counsel on board and committee governance, corporate secretarial work, and securities compliance. That covers everything from SEDI insider reporting to coordinating board meetings.
What you'll do
- Prepare and file regulatory filings and required disclosures, including proxy materials and SEDI insider reports
- Plan, coordinate and execute board and committee meetings
- Support director compensation administration
- Assist with shareholder services and related activities
- Monitor and track corporate compliance requirements
- Maintain governance records and documentation
- Support audit inquiries and regulatory information requests
- Conduct legal and corporate governance research
- Prepare governance reports and reporting materials
- Contribute to process improvement and special projects
What you bring
- 5+ years of experience as a law clerk, paralegal or lawyer
- 5+ years supporting the operations of a public company
- Hands-on securities experience in public company disclosure and filings, including proxy and insider reporting through SEDI
- Banking or financial services experience
- ILCO law clerk designation, or a paralegal or lawyer licence with the LSO
- Strong analytical and problem-solving skills, sound judgment, and excellent written and verbal communication
Compensation
$65–$68/hr on T4, or up to $80/hr incorporated
